1. Acceptance of Terms

These Terms of Use (“Terms”) govern access to and use of the websites, portals, learning management systems, live classes, mock exams, coaching sessions, digital materials, messaging groups, and related services offered by Med Cognito Exam Prep Ltd. (“MedCognito”, “we”, “us”, or “our”).

By accessing our website, creating an account, purchasing a course or service, attending a session, downloading materials, or otherwise using any MedCognito service, you agree to be bound by these Terms and any policies incorporated into them by reference, including our Privacy Policy, Refund Policy, Booking Policy, and any program-specific terms shown at checkout or in the applicable offer.

If you do not agree to these Terms, you must not access or use MedCognito services.



2. Eligibility and Permitted Use

You may use MedCognito services only if:

  • you are legally capable of entering into a binding agreement; and
  • all information you provide to us is accurate, current, and complete.

If you are using MedCognito on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

MedCognito services are intended for personal educational use only unless we expressly agree otherwise in writing.



3. Nature of Services

MedCognito provides educational and preparatory services, including but not limited to:

  • MCCQE and other medical licensing exam preparation
  • NAC OSCE preparation
  • Therapeutics Decision-Making preparation
  • PEBC examination preparation
  • mock examinations, one-to-one coaching, interview preparation, and skills sessions
  • webinars, recorded classes, downloadable resources, and related student support services

All services are provided for educational, informational, and preparatory purposes only.

MedCognito is not a university, regulator, licensing authority, or governmental body, and unless expressly stated otherwise, is not affiliated with, endorsed by, or acting on behalf of any examination body, college, regulator, residency match service, or licensing organization.



4. No Professional, Regulatory, or Outcome Guarantee

MedCognito does not guarantee:

  • passing any examination
  • obtaining licensure, certification, residency placement, or employment
  • admission to any program
  • any minimum score, ranking, or outcome

Student results depend on many factors beyond MedCognito’s control, including prior preparation, language proficiency, clinical background, study habits, and external regulatory requirements.

Any testimonials, examples, or success stories are illustrative only and do not guarantee similar results.



5. Account Registration and Security

To access certain services, you may be required to create an account. You agree to:

  • provide truthful and complete registration information
  • maintain the accuracy of your account information
  • keep your login credentials confidential
  • notify us promptly of any unauthorized use of your account

You are responsible for all activity occurring under your account unless caused by our own negligence or misconduct.

Accounts are personal to the registered user and may not be shared, sold, sublicensed, transferred, or used by multiple people unless we expressly authorize that in writing.



6. Purchases, Checkout, and Contract Formation

When you purchase a course, booking, session, or other paid service from MedCognito, you are making an offer to purchase the selected service subject to these Terms and any offer-specific conditions presented before payment.

A binding agreement is formed when:

  • you complete checkout,
  • payment is successfully processed or otherwise accepted by us, and
  • we send a confirmation or grant access.

The pricing, access period, included deliverables, session structure, and any special conditions shown on the checkout page, invoice, offer page, or confirmation email form part of the agreement for that purchase.

Where Ontario consumer law applies, your statutory consumer rights continue to apply despite these Terms.



7. Fees, Payment, Taxes, and Pricing

All prices are listed in the currency stated at checkout. Unless otherwise stated, applicable taxes may be added where required by law.

You agree to pay all fees associated with your purchase, including applicable taxes, payment processing amounts, instalments, or financing obligations if those options are offered.

MedCognito may change pricing for future purchases at any time. Price changes do not affect purchases already confirmed.

If a payment plan is offered, failure to make an instalment when due may result in suspension or termination of access to the relevant service, course, or materials until the balance is paid in full.



8. Refunds, Cancellations, and No-Show Policy

All purchases are subject to the refund, cancellation, transfer, rescheduling, and no-show rules disclosed at the time of purchase or set out in the applicable MedCognito policy.

Unless a different policy is expressly stated in writing for a specific service:

  • fees are non-refundable
  • access rights are granted only to the original purchaser
  • missed sessions may be forfeited
  • no-shows may result in loss of the session without refund or rebooking rights

For live bookings, including mock exams, coaching sessions, and PRA-related sessions, arriving late, failing to attend, or being technically unprepared may be treated as a no-show under the applicable booking policy.

Nothing in this section limits any non-waivable cancellation or refund rights you may have under applicable consumer protection law.



9. Access Periods and Content Availability

Your access period is the one stated in the offer, invoice, checkout page, or confirmation email. Access may be time-limited, cohort-based, session-based, or tied to a particular booking.

Unless expressly stated otherwise:

  • access is granted for the stated term only
  • “lifetime access” means access for the commercial life of the product while MedCognito continues to make that product available in substantially the same form
  • MedCognito may update, replace, remove, or reorganize lessons, teachers, schedules, bonus materials, or course components at any time for educational, operational, legal, or technical reasons

Temporary service interruptions, scheduled maintenance, platform migrations, software outages, and reasonable content updates do not entitle a user to a refund unless required by law or expressly promised in writing.



10. Intellectual Property Ownership

All MedCognito content and materials, whether free or paid, are and remain the exclusive property of MedCognito and/or its licensors, except where expressly stated otherwise in writing.

This includes, without limitation:

  • course structures and teaching frameworks
  • lesson videos and live-session recordings
  • slide decks, scripts, templates, summaries, notes, and guides
  • mock examinations, cases, answer keys, score sheets, and marking frameworks
  • question banks, explanations, diagrams, graphics, branding, names, logos, and website content

Your purchase or access gives you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the materials solely for your own personal study and educational purposes during the applicable access period and subject to these Terms.

No ownership rights are transferred to you.



11. Prohibited Uses of Content

You may not, without MedCognito’s prior written consent:

  • copy, reproduce, republish, upload, post, publicly display, distribute, or transmit our materials
  • share account credentials or permit another person to access paid content through your account
  • record live classes, coaching calls, mock exams, or student discussions
  • screenshot, extract, compile, scrape, or build derivative commercial resources from MedCognito materials
  • upload or circulate materials on WhatsApp, Telegram, Discord, Google Drive, Dropbox, forums, tutoring groups, or social platforms
  • sell, license, teach from, or commercially exploit MedCognito content
  • use our materials to create a competing course, service, tutoring offer, or product

Any breach of this section may result in immediate suspension or termination, legal action, and claims for damages, injunctive relief, and recovery of investigation and enforcement costs where legally available.


12. User Content, Feedback, and Submissions

If you submit comments, questions, testimonials, assignments, messages, suggestions, ideas, or other content to MedCognito, you retain ownership of your original content, but you grant MedCognito a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, adapt, and distribute that content to operate, improve, market, or deliver our services, subject to our Privacy Policy and applicable law.

If you provide testimonials, reviews, or success updates, you agree that we may use them for marketing and promotional purposes, with your name, initials, likeness, profession, score details, or other identifying details only to the extent permitted by your consent and applicable privacy law.


13. Recording Consent

MedCognito may record live sessions, webinars, mock sessions, group classes, support calls, and other educational interactions for educational, quality assurance, training, compliance, operational, or commercial purposes.

By participating in a live or recorded session, you consent to such recording and to the use of your voice, image, name, chat submissions, and participation as reasonably necessary to deliver the service and operate the business, subject to applicable privacy law and our Privacy Policy.

If a particular session is designated as non-recorded, we may still retain limited technical, attendance, or support records.



14. Student Conduct and Community Standards

You agree to behave respectfully toward MedCognito staff, instructors, tutors, contractors, and other students.

You must not:

  • harass, threaten, intimidate, insult, or abuse any person
  • use discriminatory, defamatory, obscene, or offensive language
  • disrupt live classes, group spaces, or community channels
  • impersonate another person or misrepresent your identity, credentials, or results
  • use MedCognito services for unlawful, dishonest, or fraudulent purposes
  • interfere with platform security, platform functionality, or another user’s access

MedCognito may remove content, mute participants, revoke community access, cancel sessions, or terminate accounts for misconduct, with or without prior warning depending on severity.



15. Non-Circumvention and Non-Solicitation

To protect MedCognito’s business relationships and delivery model, you agree that during your use of MedCognito services and for twelve (12) months after your last paid interaction with MedCognito, you will not knowingly:

  • solicit or engage a MedCognito tutor, instructor, contractor, or examiner directly for substantially similar services first introduced to you through MedCognito, in a manner that bypasses MedCognito
  • encourage a MedCognito tutor, contractor, or staff member to stop working with MedCognito
  • use MedCognito materials, contacts, or systems to compete unfairly with MedCognito

This section does not prevent ordinary professional networking or lawful independent relationships that arise without use of MedCognito’s confidential information, introductions, or business infrastructure.



16. Technical Requirements and User Responsibility

You are responsible for having suitable devices, internet access, software, and audio/video capability necessary to access our services.

MedCognito is not responsible for failures caused by your own device, internet connection, email filtering, local software restrictions, user error, or inability to join a session due to inadequate technical preparation.

You are responsible for checking your email, account dashboard, and any designated communication channels for access instructions, updates, schedules, and reminders.


17. Privacy and Personal Information

MedCognito collects, uses, stores, and discloses personal information in accordance with applicable law and our Privacy Policy.

By using our services, you consent to the collection, use, and disclosure of your personal information as reasonably necessary to:

  • create and manage your account
  • process payments
  • deliver courses and live sessions
  • communicate with you about your purchases
  • provide support, analytics, quality assurance, and service improvements
  • comply with legal obligations

Where required by applicable privacy law, we will seek meaningful consent and provide information about the purposes for which personal information is collected, used, or disclosed. If a security breach involving personal information creates a real risk of significant harm, applicable law may require notice to affected individuals and recordkeeping.


18. Communications and Marketing Consent

By purchasing or using MedCognito services, you consent to receiving transactional and service-related electronic communications from us, including receipts, notices, reminders, access details, support responses, and important updates relating to your account or purchase.

Promotional or marketing messages are subject to applicable Canadian electronic-messaging laws, including consent and unsubscribe requirements where applicable.


19. Accuracy, Updates, and Educational Judgement

MedCognito aims to keep materials current and useful, but education, licensing pathways, exam formats, and regulatory requirements can change.

We do not warrant that:

  • all materials are fully current at every moment
  • all content is error-free
  • every regulator, province, or institution will interpret requirements the same way
  • every strategy discussed will apply equally to every student

We reserve the right to revise, replace, or withdraw content at any time to reflect academic judgment, instructor availability, legal requirements, platform changes, or business priorities.


20. Disclaimer of Warranties

To the fullest extent permitted by law, MedCognito services and materials are provided on an “as is” and “as available” basis.

MedCognito disclaims all express, implied, and statutory warranties, representations, and conditions, including implied warranties or conditions of merchantability, fitness for a particular purpose, performance, availability, title, and non-infringement, except to the extent such disclaimers are prohibited by applicable law.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.


21. Limitation of Liability

To the fullest extent permitted by law, MedCognito, its directors, officers, employees, contractors, instructors, and affiliates shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, or for any loss of profits, data, business opportunity, exam opportunity, professional opportunity, goodwill, or reputation, arising out of or relating to your use of or inability to use our services.

To the fullest extent permitted by law, MedCognito’s aggregate liability arising out of or relating to a specific purchase or claim shall not exceed the amount actually paid by you to MedCognito for the specific service giving rise to the claim in the twelve (12) months before the event giving rise to liability.

This section applies whether the claim sounds in contract, tort, negligence, statutory cause of action, or otherwise, and even if a limited remedy fails of its essential purpose, except where prohibited by law.


22. Indemnity

You agree to indemnify and hold harmless MedCognito and its directors, officers, employees, contractors, instructors, and affiliates from and against claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable legal fees, arising out of or relating to:

  • your breach of these Terms
  • your misuse of MedCognito content or services
  • your violation of law or third-party rights
  • your unauthorized sharing, recording, redistribution, or commercial use of our materials

This section survives termination to the extent permitted by law.


23. Suspension and Termination

MedCognito may suspend, restrict, or terminate access, with or without notice where reasonable in the circumstances, if:

  • you breach these Terms or any policy incorporated into them
  • you fail to pay amounts owing
  • you engage in misconduct, abuse, piracy, fraud, or chargeback abuse
  • continued access poses legal, reputational, academic, or security risk
  • we discontinue a service or platform

Termination or suspension does not waive amounts already owing and does not entitle you to a refund unless required by law or expressly stated in writing.

Sections that by their nature should survive termination will survive, including payment obligations, IP protections, indemnity, limitation of liability, dispute provisions, and confidentiality-related obligations.


24. Consumer Rights and Statutory Protections

Nothing in these Terms is intended to waive, limit, or exclude any rights, remedies, warranties, guarantees, or protections that cannot lawfully be waived under applicable law.

If Ontario consumer law applies to your purchase, your statutory rights continue to apply despite any contrary wording in these Terms. Ontario law also regulates internet agreements, required disclosures, and unfair practices, and a business cannot contract out of those protections.


25. Dispute Resolution

If a dispute arises, the parties will first try to resolve it through good-faith discussion.

If the dispute is not resolved, either party may propose mediation in Ontario, Canada. If both parties agree, the dispute may proceed to mediation or another agreed dispute-resolution process.

Nothing in these Terms requires a consumer to waive a right to commence an action in court where such a waiver would be unenforceable under applicable consumer protection law. In Ontario, mandatory arbitration wording cannot be used to strip non-waivable consumer rights under a consumer agreement.


26. Governing Law

These Terms and any dispute or claim relating to them or to MedCognito services shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules, except to the extent that mandatory consumer protection law in another applicable jurisdiction cannot lawfully be excluded.


27. Force Majeure

MedCognito will not be liable for delay, interruption, or failure to perform caused by events beyond its reasonable control, including internet outages, software failures, cyber incidents, labour disruptions, severe weather, illness, regulatory changes, examination-body changes, government action, natural disasters, or other force majeure events.

Where reasonably possible, MedCognito may reschedule, substitute, delay, or modify delivery affected by such events.


28. Changes to These Terms

MedCognito may revise these Terms from time to time. Updated Terms will be posted on the relevant platform or website with a revised effective date.

If the changes materially affect your existing rights or obligations for an active paid service, we may notify you by email, dashboard notice, or similar means. Continued use of the services after the effective date of updated Terms constitutes acceptance of the revised Terms, subject to any non-waivable rights you may have under applicable law.


29. Entire Agreement

These Terms, together with any checkout terms, offer-page terms, invoices, booking policies, refund policies, privacy policy, and program-specific written terms incorporated by reference, form the entire agreement between you and MedCognito regarding the applicable services.

If there is a conflict between these Terms and a program-specific written agreement signed by MedCognito, the signed agreement governs to the extent of the conflict.


30. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed or limited to the minimum extent necessary, and the remainder of the Terms shall remain in full force and effect.


31. No Waiver

A failure or delay by MedCognito to enforce any right or provision under these Terms is not a waiver of that right or provision.
